These Terms of Service ("Terms") govern your access to and use of the Jetwork platform, website, API, and related services (collectively, the "Service") provided by Jetwork, Inc. ("Jetwork," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
By creating an account, accessing, or using Jetwork in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
You must be at least 16 years of age to use the Service. By using Jetwork, you represent that you meet this age requirement.
To use Jetwork, you must create an account by providing accurate, current, and complete information. You are responsible for:
We reserve the right to suspend or terminate accounts that contain false or misleading information, or that violate these Terms.
Free Plan. Jetwork offers a free tier with limited features and contact capacity. The free plan is provided as-is and may be modified or discontinued at our discretion with reasonable notice.
Paid Plans. Paid subscriptions (Pro, Teams, Enterprise) are billed on a monthly or annual basis as selected at the time of purchase. All fees are stated in U.S. dollars and are exclusive of applicable taxes.
Billing. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis. Annual subscriptions are billed as a single upfront payment. Monthly subscriptions are billed at the beginning of each billing cycle.
Cancellation. You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. We do not offer prorated refunds for partial billing periods, except where required by law.
Price Changes. We may change subscription prices with at least 30 days' written notice. Price changes take effect at the start of your next billing cycle following the notice period.

We reserve the right to investigate violations and take appropriate action, including account suspension or termination, and cooperation with law enforcement.
Our Property. The Service, including its design, code, algorithms, trademarks, logos, and documentation, is owned by Jetwork, Inc. and protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
Your Data. You retain all rights to the data you upload to or connect with Jetwork. By using the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing and improving the Service. This license terminates when you delete your account.
Feedback. If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL JETWORKING, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
You agree to indemnify, defend, and hold harmless Jetwork, Inc. and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any data you upload or connect to the Service.
By You. You may terminate your account at any time by deleting it through the platform settings or by contacting us. Upon termination, your right to use the Service ceases immediately.
By Us. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, non-payment, fraudulent activity, or extended inactivity.
Effect of Termination. Upon termination, we will delete your data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) shall survive.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in New York, New York, or remotely at the election of either party.
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, class arbitration, or representative action.
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email and/or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms.
If you do not agree to the modified Terms, you must stop using the Service and may delete your account.
Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Jetwork regarding your use of the Service.
Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
